Identity Protocol Commercial License Agreement

            IMPORTANT: This is a legally binding agreement. By purchasing and using this license, you agree to be bound by all terms and conditions outlined below.
        

1. GRANT OF LICENSE

Subject to the terms and conditions of this Agreement, Identity Protocol ("Licensor") hereby grants to the Licensee a perpetual, non-exclusive, non-transferable license to use the Identity Protocol software and related documentation for commercial purposes.

2. LICENSE SCOPE

2.1 Commercial Use Rights

Integrate Identity Protocol into commercial applications and services
Use Identity Protocol for enterprise identity management solutions
Deploy Identity Protocol in production environments
Resell applications that incorporate Identity Protocol

2.2 Perpetual Term

This license is perpetual and does not expire. The Licensee may use the licensed software indefinitely, subject to compliance with the terms of this Agreement.

3. RESTRICTIONS

The Licensee shall not:

Reverse engineer, decompile, or disassemble the software
Modify, adapt, or create derivative works without written permission
Remove or alter any proprietary notices or labels
Use the software for illegal or unauthorized purposes
Transfer, sublicense, or assign the license without written consent

4. INTELLECTUAL PROPERTY

All intellectual property rights in the Identity Protocol software remain the exclusive property of the Licensor. This license does not transfer ownership of any intellectual property rights.

5. UPDATES AND MAINTENANCE

The perpetual license includes access to all future updates and improvements to the Identity Protocol software at no additional cost.

6. WARRANTY AND DISCLAIMER

6.1 Limited Warranty

The software is provided "as is" without warranty of any kind. The Licensor disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

6.2 Limitation of Liability

In no event shall the Licensor be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

7. TERMINATION

This license may be terminated by the Licensor if the Licensee fails to comply with any material term of this Agreement. Upon termination, the Licensee must cease all use of the software and destroy all copies.

8. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of [Jurisdiction], without regard to conflict of law principles.

9. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior agreements and understandings.
